No Guarantee of Funding
While BloomClub provides strategic guidance, preparation, introductions, and opportunities to pitch, we do not guarantee that clients will secure investment, achieve funding targets, or receive favorable terms. Success depends on market conditions, investor preferences, and the client’s own execution.

Limitation of Liability
To the maximum extent permitted by law, BloomClub, its affiliates, directors, advisors, employees, and contractors shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages, including but not limited to:

• Loss of investment opportunities

• Loss of profits or revenue

• Reputational damage

• Business interruption

• Any claims arising from investor relations, negotiations, or transactions

Investor Relations
BloomClub may facilitate introductions to investors, however:

• We do not endorse or vouch for any investor’s credibility, financial capacity, or intentions.

• Any investment decisions, negotiations, or agreements are strictly between the client and the investor(s).

• BloomClub assumes no responsibility for disputes, defaults, or failed deals arising from such introductions.

Client Responsibility
Clients remain solely responsible for:

• The accuracy and completeness of all information, documents, and materials provided to BloomClub and/or investors.

• Ensuring compliance with applicable laws, regulations, and disclosure requirements.

• Their own decision-making in relation to fundraising, business strategy, and deployment of capital.

Aggregate Liability Cap
In any event, BloomClub’s total aggregate liability to the client, whether in contract, tort, negligence, or otherwise, shall be strictly limited to the total subscription fees paid by the client to BloomClub in the preceding 3 months from the date of claim.
